Any services requested outside the agreed scope may require a separate agreement and additional fees.

Engagement and Acceptance

By requesting our services, submitting inquiries, signing agreements, or continuing to use our services, you acknowledge that you have read, understood, and accepted these Terms & Conditions.

Client Responsibilities

Clients agree to:

  • Provide complete and accurate information required for service delivery.
  • Respond promptly to requests for approvals, documentation, or clarifications.
  • Maintain the necessary rights, licenses, and permissions for all data and materials provided to DhanInfo.
  • Cooperate with DhanInfo to ensure timely project execution.

Delays caused by incomplete information or client-side dependencies may affect project timelines.

Pricing and Payment

Pricing is established through approved proposals or contractual agreements.

Unless otherwise agreed:

  • Invoices are payable according to the agreed payment terms.
  • Late payments may incur applicable interest or administrative charges where permitted by law.
  • DhanInfo reserves the right to suspend ongoing services for overdue accounts after providing reasonable notice.
  • Clients remain responsible for payment for services completed prior to suspension or termination.

Applicable taxes, duties, or government charges are the responsibility of the client unless otherwise specified.

Confidentiality

DhanInfo recognizes the importance of protecting confidential information.

Both parties agree to maintain the confidentiality of all non-public business information, including:

  • Client records
  • Customer information
  • Business processes
  • Financial information
  • Proprietary methodologies
  • Technical documentation
  • Trade secrets

Confidential information will only be disclosed:

  • With prior written authorization;
  • When necessary to perform contracted services; or
  • When required by applicable law or regulatory authorities.

These confidentiality obligations continue after completion or termination of services.

Data Security and Compliance

Clients remain responsible for ensuring the legality and accuracy of the data they provide.

Intellectual Property

Unless otherwise agreed in writing:

  • Each party retains ownership of its pre-existing intellectual property.
  • Deliverables specifically developed for the client become subject to the ownership provisions outlined in the applicable service agreement.
  • DhanInfo retains ownership of its proprietary methodologies, workflows, templates, software, automation frameworks, and operational processes.

No intellectual property rights are transferred except as expressly stated in a written agreement.

Artificial Intelligence and Automation

DhanInfo may utilize AI-enabled technologies, workflow automation, and analytical tools to improve efficiency, consistency, and operational performance.

Where applicable, AI-assisted outputs are subject to human review and quality oversight to help maintain accuracy and compliance.

Service Availability

While DhanInfo strives to provide uninterrupted services, availability may occasionally be affected by:

  • Scheduled maintenance
  • Software updates
  • Third-party infrastructure
  • Internet disruptions
  • Force majeure events
  • Regulatory requirements

DhanInfo will make reasonable efforts to minimize service interruptions.

Limitation of Liability

To the maximum extent permitted by applicable law:

  • DhanInfo shall not be liable for indirect, incidental, consequential, punitive, or special damages, including loss of profits, business interruption, or loss of data.
  • Liability arising from any engagement shall be limited to the fees paid by the client for the specific services giving rise to the claim, unless otherwise agreed in writing.

Nothing in these Terms limits liability where such limitation is prohibited by law.

Indemnification

Each party agrees to indemnify and hold the other harmless from claims, damages, liabilities, costs, or expenses resulting from:

  • Breach of these Terms;
  • Negligence or willful misconduct;
  • Violation of applicable laws or regulations; or
  • Infringement of third-party intellectual property rights caused by that party.

Termination

Either party may terminate an engagement in accordance with the applicable service agreement or by providing written notice where no separate agreement exists.

Upon termination:

  • Services performed up to the termination date remain payable.
  • Confidential information must continue to be protected.
  • Outstanding financial obligations survive termination.

Force Majeure

DhanInfo shall not be responsible for delays or failures resulting from events beyond its reasonable control, including but not limited to:

  • Natural disasters
  • Pandemic or epidemic events
  • Government actions
  • War or civil unrest
  • Cybersecurity incidents
  • Utility failures
  • Labor disputes
  • Internet or telecommunications outages

Performance obligations will resume as soon as reasonably practicable.

Third-Party Services

Certain services may involve third-party software, cloud platforms, communication providers, or technology vendors.

DhanInfo is not responsible for interruptions or failures caused solely by third-party providers beyond its control.

Website Use

Users agree not to:

  • Misuse the website or attempt unauthorized access.
  • Upload malicious software or harmful content.

The parties agree to first attempt to resolve disputes through good-faith discussions.

If a resolution cannot be reached, disputes may be resolved through mediation, arbitration, or courts of competent jurisdiction, as agreed in the applicable service agreement and permitted under applicable law.

Changes to These Terms

DhanInfo may update these Terms & Conditions periodically to reflect legal, operational, or business changes.

Updated versions become effective upon publication on this website. Continued use of our website or services constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with any applicable proposal, Statement of Work (SOW), Master Service Agreement (MSA), or service contract, constitute the entire agreement between DhanInfo and the client regarding the relevant services.
